Template notice. This document is a drafting starting point, not legal advice. Have it reviewed by a qualified Lithuanian lawyer before you rely on it, and replace every highlighted placeholder first.
1. We are independent — not affiliated with Walmart
NEEDS CORRECTION, trading as BlueShelf, is an independent consulting agency. We are not affiliated with, endorsed by, sponsored by, certified by, partnered with, or an agent of Walmart Inc. or any of its subsidiaries.
"Walmart", "Walmart Marketplace", "Walmart Connect", and related names and logos are trademarks of Walmart Inc. We reference them descriptively to identify the platform on which we provide services. No statement on this website should be read as implying an official relationship, accreditation, or preferential access.
We do not control Walmart's systems, policies, approval decisions, algorithms, fee structures, or enforcement actions, and we have no ability to influence them.
2. No guarantees of outcome
We do not guarantee, warrant, or promise:
- Admission to Walmart Marketplace. Seller applications are approved or rejected solely at Walmart's discretion, on criteria Walmart sets and may change without notice. A rejected application is not a failure of our service.
- Any specific sales volume or revenue.
- Any specific profit margin, ROAS, or return on spend.
- Any specific organic search ranking, Buy Box share, or category placement.
- Any specific timeline for approval, indexing, or ranking movement.
Commercial results depend on factors outside our control, including product quality, pricing, inventory, fulfilment performance, competition, seasonality, category dynamics, and Walmart's own algorithm and policy changes.
3. Case studies and figures are illustrative
Any figures, growth curves, or case studies shown on this website are illustrative composites presented to explain the kind of outcome our methodology works toward. They are not a representation about any individual client, not a forecast, and not a promise of comparable results. Marketplace statistics we cite are drawn from publicly reported sources and may be out of date.
4. Account suspension, restriction, and termination
Walmart may suspend, restrict, deactivate, or terminate a seller account or individual listings at any time, at its sole discretion. Common triggers include inventory and stock issues, late shipment or defect rates, fulfilment performance, pricing rules, listing quality, intellectual property complaints, restricted or unsafe products, document verification, and changes to platform policy.
To the maximum extent permitted by law, the Client releases us from, and we accept no financial or legal liability whatsoever for, any suspension, restriction, deactivation, or termination of the Client's Walmart account, store, or listings, or for any resulting loss of sales, revenue, profit, inventory value, goodwill, or business opportunity — including where this results from inventory or shipping performance, from the Client's own acts or omissions, or from a change in Walmart's policies or their enforcement.
The Client is responsible for maintaining compliance with Walmart's current policies and for the accuracy and legality of everything sold through its account.
5. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with our services — whether in contract, tort (including negligence), statute, or otherwise — is limited to the total fees actually paid by the Client to us in the three (3) months immediately preceding the event giving rise to the claim.
We are not liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, goodwill, anticipated savings, or business opportunity, even if advised such loss was possible. Nothing here excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
6. Third-party platforms and services
Our services depend on third-party platforms including Walmart Marketplace, Walmart Connect, and associated APIs. We are not responsible for their availability, downtime, data loss, pricing changes, deprecations, or breaking changes, nor for any third-party service the Client engages separately.
7. No legal, tax, accounting, or customs advice
Nothing we provide constitutes legal, tax, accounting, customs, or regulatory advice. This includes any guidance relating to establishing a company or business presence in another jurisdiction. Company formation, tax residency, import compliance, product safety, and licensing all have consequences that depend on the Client's circumstances — the Client must take its own qualified professional advice before acting, and is solely responsible for its own compliance.
8. Website content
This website is provided "as is" for general information. We make no warranty that it is accurate, complete, or current, and we may change it at any time without notice.
9. Relationship to our other terms
These disclaimers form part of and should be read together with our Terms of Service and Privacy Policy. Where the Terms of Service and these disclaimers both address liability, the more protective provision applies to the maximum extent the law allows. These disclaimers are governed by the laws of the Republic of Lithuania, with the courts of Lithuania having exclusive jurisdiction.
